StructBy AI Terms of Service (India)

Effective date: 4 September 2026 Last updated: 4 September 2026

These Terms of Service ("Terms") govern your access to and use of the StructBy AI software-as-a-service platform, including the website at structbyai.com and related applications and content ("Service"), when you use it from India.

The Service is provided by Structbyai Pty Ltd (ABN 98 700 283 254, ACN 700 283 254), a company incorporated in New South Wales, Australia, trading as StructBy AI ("StructBy AI", "we", "us", "our"). We provide the Service to users in India from Australia; we do not have an establishment in India.

By creating an account, signing in, or using the Service you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you have authority to bind it, and "you" refers to that organisation. If you do not agree, do not use the Service.

1. Nature of the Service — professional responsibility

1.1 StructBy AI is an assistive tool for structural engineering and construction professionals. It provides summaries of, and navigation over, the National Building Code of India (NBC 2016) and Indian Standards (IS codes), along with site-parameter lookups and document-generation aids.

1.2 All outputs are advisory and require independent verification by a qualified, competent professional before any use in design, certification, or construction. The Service does not perform engineering design, does not issue certifications, and is not a substitute for the judgement of a licensed engineer.

1.3 Outputs are generated in part by artificial intelligence and may be incomplete, out of date, or incorrect, including in ways that are not obvious on reading. You must verify every code reference, clause number, calculation, and factual identifier against the current published source before relying on it.

1.4 You remain the responsible professional for any work product you adopt, sign, submit, or certify.

1.5 The Service is currently offered in India as a beta. Features may change, and paid plans are not yet offered in India.

2. Your engineer-responsibility acknowledgement

2.1 Before you can use the AI features of the Service, you are required to record an acknowledgement that you are the responsible professional for any output you sign or certify, and that you will independently verify all NBC and IS-code references before relying on any output.

2.2 Professional liability under Indian law flows through the qualified professional who signs or certifies the document, and through any approval required by the applicable state or municipal authority — not through the tools the professional uses to draft it. Nothing in these Terms changes that position; these Terms confirm and document it.

2.3 The acknowledgement timestamp is recorded against your account and forms part of the audit trail attached to every document you generate. You cannot withdraw the acknowledgement and continue to use the AI features. If you withdraw it, you must stop using the AI features immediately.

2.4 If you generate, sign, or certify a document using the Service without performing the independent verification required by clauses 1.2, 1.3 or 2.1, you accept responsibility for the consequences and indemnify StructBy AI in accordance with clause 14, subject always to clause 12.

3. Not the text of the codes

3.1 Code and standards content in the Service consists of original plain-English summaries, not the verbatim text of NBC 2016 or any IS code. Those texts are the copyright of the Bureau of Indian Standards, and the Bureau of Indian Standards Act, 2016 and rules made under it apply to them.

3.2 Summaries may be incomplete, abridged, or out of date. Always verify against the current published codes and standards. Nothing in the Service grants you any licence to the underlying standards.

4. Eligibility and accounts

4.1 You must be at least 18 years old and capable of entering a binding contract under the Indian Contract Act, 1872.

4.2 We use a third-party identity provider (currently Clerk, operated by Clerk, Inc.) to authenticate accounts. You are responsible for the security of your account credentials and for all activity under your account. Notify us promptly at contact@structbyai.com if you believe your account has been compromised.

4.3 Accounts are for named individuals. You may not share credentials.

5. Subscription, payments, and refunds

5.1 The Service is currently available in India on the free plan only. When paid plans are offered in India, the plans, their allowances, and their prices will be those displayed on the Pricing page at the time you subscribe, shown in Indian Rupees (INR).

5.2 Prices for paid plans will state whether Indian goods and services tax is included. Where we are required to collect Indian GST on services supplied from outside India, it will be shown at checkout before you pay. If you are registered for GST in India and provide a valid GSTIN, GST may instead be payable by you under the reverse-charge mechanism, and you are responsible for it.

5.3 Paid subscriptions renew automatically for successive periods unless cancelled before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current paid period. Recurring payments on Indian cards are subject to the Reserve Bank of India's rules on recurring transactions, including any authentication your bank requires.

5.4 Except where a refund is required by applicable law, including the Consumer Protection Act, 2019, fees already paid are non-refundable. Where a refund is required by law, nothing in this clause limits it.

5.5 We may change pricing on at least 30 days' notice. Changes take effect from your next renewal. If you do not accept a price change, you may cancel before the next renewal.

6. Acceptable use

6.1 You agree not to:

(a) reverse engineer, decompile, or attempt to derive the source of the Service; (b) use the Service to produce unlawful, infringing, or misleading content; (c) present AI-generated output as independently verified when it is not; (d) resell or provide the Service to third parties as a bureau service without our written agreement; (e) use the Service to train a competing AI model or service; (f) submit personal data of others without a lawful basis to do so; or (g) attempt to circumvent usage limits, access controls, or region gating.

6.2 We may suspend access where we reasonably believe use breaches this clause or creates risk to the Service or other users.

7. Intellectual property

7.1 The Service, excluding your content, is owned by StructBy AI and its licensors.

7.2 You retain ownership of documents and data you create. You grant us a limited, non-exclusive licence to host, process, and transmit them solely to provide and support the Service.

7.3 We do not claim ownership of your project data and do not use your project content to train third-party foundation models. See clause 8.

8. AI processing and sub-processors

8.1 The Service sends your prompts, parameters, and relevant document content to third-party AI providers in order to generate output. Our current AI provider is Anthropic, PBC. Those providers act as our processors under contract and do not use our customers' prompts to train their public models.

8.2 The current list of sub-processors, with their locations, is set out in section 6 of the Privacy Policy (India). We update that list before a new sub-processor begins processing personal data.

8.3 We and our processors are located outside India. Transfers are made consistent with the Digital Personal Data Protection Act, 2023 and any restrictions notified by the Central Government under it. See the Privacy Policy (India).

9. Your data, privacy, and audit records

9.1 Our handling of personal data is governed by the StructBy AI Privacy Policy (India), which forms part of these Terms.

9.2 The Service records an audit trail for generated documents, including the acknowledgement in clause 2, the parameters supplied, and the knowledge-base excerpts relied upon. These records exist to evidence what the Service was asked and what it returned.

9.3 Audit records are retained after a document is deleted, so that the record of what was generated survives deletion of the document itself. Retention periods are set out in the Privacy Policy (India).

10. Confidentiality

10.1 Each party may receive information of the other that is confidential. Each party will protect the other's confidential information using at least reasonable care and will not disclose it except to personnel and processors who need it and are bound by equivalent obligations.

10.2 These obligations do not apply to information that is public through no breach, independently developed, or required to be disclosed by law or a competent authority — in which case the disclosing party will, where lawful, give prior notice.

11. Service availability and changes

11.1 We aim to keep the Service available but do not warrant uninterrupted or error-free operation. Maintenance, third-party outages, and provider limits may interrupt it.

11.2 We may add, change, or withdraw features. Where a change materially reduces core functionality of a paid plan, we will give at least 30 days' notice and you may cancel before the change takes effect for a pro-rata refund of prepaid fees for the period after the change.

11.3 Beta or experimental features are provided "as is" and may be withdrawn at any time.

12. Consumer rights and warranties

12.1 Where the Service is supplied to you as a "consumer" within the meaning of the Consumer Protection Act, 2019, the rights and remedies conferred by that Act apply to that supply. Nothing in these Terms excludes, restricts, or modifies any right or remedy that cannot lawfully be excluded, restricted, or modified, and any provision that would do so applies only to the extent it lawfully may.

12.2 Subject to clause 12.1, and to the maximum extent permitted by applicable law, the Service is provided "as is" and "as available". We make no warranties — express, implied, statutory, or otherwise — that the Service will be uninterrupted, error-free, or secure, or that any AI-generated output will be accurate, complete, code-compliant, or fit for any specific project.

12.3 Where the Service is supplied for the purposes of a business or commercial use, the consumer protections described in clause 12.1 may not apply to the same extent, and clause 13 operates without that statutory floor.

13. Limitation of liability

13.1 Subject to clause 12.1 and to the maximum extent permitted by applicable law, we are not liable to you for:

(a) any indirect, incidental, consequential, or special loss (including loss of profits, loss of data, loss of business opportunity, loss of goodwill, or loss of anticipated savings); (b) any loss or damage arising from your reliance on AI-generated output that you have not independently verified in accordance with clauses 1 and 2; (c) any loss or damage arising from a failure of design, construction, or certification where the responsible professional did not perform the verification required by these Terms; or (d) any loss arising from your breach of clause 6.

13.2 Subject to clause 12.1, our aggregate liability arising out of or in connection with the Service in any twelve-month period is limited to the greater of the total fees you paid us for the Service in that period and five thousand Indian Rupees (INR 5,000).

13.3 Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.

14. Indemnity

14.1 Subject to clause 12.1, you indemnify StructBy AI against any claim, loss, or liability arising from:

(a) your use of the Service in breach of these Terms; (b) any document you signed, certified, or submitted without performing the verification required by clauses 1 and 2; or (c) content you submitted that you did not have the right to submit.

14.2 This indemnity applies only to the extent the claim arises from your act or omission, and does not apply to the extent the claim arises from our own breach of these Terms or from conduct for which liability cannot lawfully be excluded.

15. Termination

15.1 You may stop using the Service and close your account at any time.

15.2 We may suspend or terminate access where you materially breach these Terms, where required by law, or where continued provision creates unacceptable risk. Where practicable we will give notice and an opportunity to remedy.

15.3 On termination, clauses 3, 7, 9, 10, 12, 13, 14, and 17 survive.

15.4 Your data is handled after termination as set out in the Privacy Policy (India).

16. Changes to these Terms

16.1 We may update these Terms. The current version is always at structbyai.com/terms?country=IN. Material changes adverse to you will be notified in-product or by email at least 30 days before they take effect.

16.2 Continued use after changes take effect constitutes acceptance. If you do not accept a change, stop using the Service and cancel any paid plan before the change takes effect.

17. Governing law and disputes

17.1 These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the jurisdiction of the courts of New South Wales and the Federal Court of Australia.

17.2 Clause 17.1 does not affect your rights under the Consumer Protection Act, 2019 or the Digital Personal Data Protection Act, 2023. If you are a consumer, nothing in these Terms prevents you from approaching the consumer commission having jurisdiction under the Consumer Protection Act, 2019, or from complaining to the Data Protection Board of India, and any mandatory provision of Indian law that applies to the supply of the Service to you continues to apply.

17.3 Before commencing proceedings, the parties will first attempt to resolve any dispute through the grievance process in clause 19 and by good-faith negotiation for at least 30 days.

18. General

18.1 Severability. If any provision is held unenforceable, it is severed to the minimum extent necessary and the remainder continues in force.

18.2 No waiver. A failure to enforce a provision is not a waiver of it.

18.3 Assignment. You may not assign these Terms without our written consent. We may assign them to a successor of our business on notice to you.

18.4 Entire agreement. These Terms and the Privacy Policy (India) are the entire agreement between us regarding the Service.

18.5 Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, excluding payment obligations.

18.6 Notices. Notices to you may be given in-product or to your account email. Notices to us go to contact@structbyai.com.

18.7 Language. These Terms are in English.
